Definition

Software Audit: A formal vendor initiated review of the customer's deployment of licensed software against the entitlement granted by the contract. The vendor sends a written audit notice invoking the audit clause, requests deployment data or runs measurement scripts, and reconciles findings against contracted entitlement. Any deployment in excess of entitlement is presented as a settlement claim with back maintenance, penalties, and forward purchase requirements. The audit ends when both sides sign a settlement document.

Software audits exist because every enterprise software contract contains an audit clause and because vendor compliance functions operate as profit centers. The top four audit initiators by deal value are Oracle, IBM, SAP, and Microsoft, each of which runs a dedicated license management or global license auditing team that operates independently from the sales account team and reports through finance. The compliance team's settlement targets are tracked as revenue. Oracle Database audits ran 18 to 60 percent settlements driven by core factor processor licensing, virtualization scoping disputes, and ULA exit certification gaps. SAP audits ran 14 to 45 percent settlements anchored by digital access document tier exposure and named user reconciliation. Microsoft audits ran 10 to 30 percent settlements driven by Windows Server core licensing, M365 license type drift, and SQL Server virtualization claims.
