What Is an AWS Private Offer? Marketplace Definition

Glossary → AWS Marketplace Private Offer

An AWS Marketplace Private Offer is a custom one to one offer extended by an ISV to a specific AWS buyer through AWS Marketplace, with negotiated price, term, payment schedule, and EULA. Across 96 AWS Marketplace private offers we benchmarked in 2024 and 2025, the median discount was 18 percent below ISV public list, with the range running 8 to 32 percent. Net new ISV adoption with a 3 year commit pushed the median to 24 percent.

Custom EULA

Definition

AWS Marketplace Private Offer: A custom Marketplace listing extended by an ISV seller to one specific AWS account or AWS Organizations payer ID, with negotiated price, contract term, billing schedule, and contract terms that override the ISV's public list. Sits inside the broader cloud marketplace procurement model.

Three deal mechanics matter. First, payment schedule flexibility: the buyer can choose annual prepay, monthly, quarterly, or custom milestone billing, which changes working capital exposure. Second, multi year commit: 2 and 3 year private offers consistently produced 6 to 14 percent deeper discounts than 1 year offers in our sample. Third, EULA negotiation: the buyer can replace the ISV's standard click through terms with the buyer's master agreement, redlined indemnities, custom data residency, or specific liability caps.

The interaction with AWS EDP is the most underrated lever. Standard ISV private offer spend counts at 50 percent toward EDP commitment under 2024 program terms. Select strategic ISVs and AWS native services count at 100 percent. A buyer with a $3M EDP and $1M of ISV spend running through private offers will burn down $500K of the commit, freeing budget for native consumption.

When a private offer beats a direct ISV deal

From our 2024 and 2025 sample of AWS Marketplace private offers: private offer beat direct ISV pricing in 67 percent of cases when the buyer already had an EDP in flight, primarily because the 50 percent burn down value plus the negotiated discount stacked. Private offer lost to direct in 21 percent of cases, mostly where the ISV's direct sales team offered a deeper unit price to keep revenue off the AWS rail. The remaining 12 percent were neutral. Methodology: NDA order form data, deal size brackets $80K to $3.4M annual, segment cuts US and EMEA.
