Six clauses that make a software renewal a fair transaction instead of a captive one. Attach it to the renewal order form, unchanged, and ask the vendor to say which clause they object to and why.

Custom redlines get argued clause by clause from scratch, every time. A published standard shifts the question from “justify your asks” to “name the clause you object to, and why.”
Every clause is symmetric: the vendor keeps inflation protection, audit rights, and expansion revenue. What comes out is the machinery that converts a renewal into a captive transaction.
Every buyer who attaches the same rider makes it harder for a vendor desk to call any one of them unreasonable. The version number on this page is the point: one text, everywhere.

This rider (the “Rider”) is attached to and made part of the renewal order form or renewal agreement (the “Renewal”) between the customer entity executing the Renewal (“Customer”) and the software vendor named in the Renewal (“Vendor”). In the event of a conflict between this Rider and the Renewal, the governing agreement, or any vendor policy incorporated by reference, this Rider controls.
The parties acknowledge that the terms below reflect prevailing market practice for enterprise software renewals and are intended to allocate renewal risk in a balanced way. Capitalized terms not defined in this Rider carry the meaning given in the governing agreement.
Fees for the Renewal term shall not exceed the fees for the immediately preceding term, measured on a like for like basis for the same products and quantities, by more than the lesser of (a) three percent (3%) and (b) the percentage change in the Consumer Price Index for All Urban Consumers (CPI-U, all items, U.S. city average) published by the U.S. Bureau of Labor Statistics for the twelve full months preceding the date of Vendor's renewal quote.
No renaming, repackaging, edition retirement, or reclassification of products shall be used to effect an increase above this cap. If a product is withdrawn, Vendor shall offer the nearest successor product at a price no greater than the capped price of the product it replaces.
If, during the Renewal term, the market median unit price for a product under this Renewal, as measured by an independent benchmark provider agreed by the parties for equivalent volume and deployment, falls more than ten percent (10%) below Customer's then current unit price for that product, Customer may deliver the benchmark evidence and request a repricing review.
The parties shall meet within thirty (30) days of the request. Vendor shall either (a) adjust the affected unit price prospectively to no more than the documented market median, or (b) permit Customer to reduce the affected quantities or terminate the affected product at the end of the then current billing year without penalty and without affecting the remainder of the Renewal.
Vendor may verify Customer's deployment no more than once in any twelve (12) month period, on at least forty five (45) days written notice, during business hours, and in a manner that does not disrupt Customer's operations. The scope of any verification is limited to the products under this Renewal and to the current and immediately preceding contract year.
Verification shall rely on deployment data generated by Customer using measurement tooling agreed by both parties in advance. Customer shall not be required to execute Vendor supplied scripts, agents, or discovery tooling on Customer systems. Vendor bears its own costs of verification.
Any compliance findings shall be reconciled under clause 4 of this Rider. Verification data may be used solely for license reconciliation and shall not be shared with Vendor's sales organization except as an agreed reconciliation summary.
If Customer's deployment is found to exceed licensed quantities, Customer shall remedy the shortfall prospectively, effective from the date of written notice of the shortfall, by purchasing the additional quantities at the unit prices and discount levels in effect under this Renewal.
Vendor shall not charge retroactive license fees, back dated support or maintenance, interest, list price penalty rates, or any other charge for periods before the date of written notice. Usage growth identified between reviews is billed at the next agreed true up date at contracted unit rates.
All order forms, expansions, and additional products purchased during the Renewal term shall be coterminous with the Renewal's expiry date. Fees for mid term additions shall be prorated to the common expiry at the unit prices and discount levels of this Renewal.
No purchase during the term shall extend, renew, or restart the committed term of any other product or of the Renewal itself, absent an express written agreement signed by both parties that states the extension on its face.
Customer may assign this Renewal and the governing agreement, in whole or in part, to an affiliate or to a successor in interest in connection with a merger, acquisition, or divestiture, on written notice and without fee. A divested Customer entity may continue to use licenses allocated to it for up to twelve (12) months following the divestiture at no additional charge while it transitions.
If Vendor undergoes a change of control, or assigns the governing agreement, the successor shall honor this Rider, the Renewal's pricing, discounts, and terms for the remainder of the term, including the renewal price protection in clause 1 at the next renewal. If the successor announces end of life for a product under this Renewal, or materially degrades the service, Customer may terminate the affected product and receive a pro rata refund of prepaid unused fees.
The Fair Renewal Rider is a negotiation aid reviewed for commercial reasonableness by VendorBenchmark analysts. It is not legal advice, and VendorBenchmark is not a law firm. Have your counsel review the rider before execution, and adapt the defined terms to your governing agreement.
