Definition

BAFO (Best and Final Offer): The closing competitive round of an RFP in which the buyer requests each shortlisted vendor to submit their best pricing and best terms with the explicit signal that no further price negotiation will occur. The BAFO is the instrument that converts competitive pressure into the final price. Distinct from a counter offer in bilateral negotiation, which is what happens in the absence of a real BAFO process.

The BAFO is the single most underused instrument in enterprise software procurement. Roughly 38 percent of RFPs in our deal panel closed without a formal BAFO round, leaving a median 4 to 7 percent of available discount on the table. The reason buyers skip the BAFO is uncertainty: procurement teams worry about losing the preferred vendor by pushing too hard. The data does not support that fear. In our panel, only 1.6 percent of BAFOs resulted in a vendor walking away, and those walk aways concentrated in deals where the buyer required a 50 percent plus discount against a list price that was already aggressively positioned.

BAFO outcomes by deal size and vendor type

From our 980 RFP panel, BAFO lift over the initial RFP response ran 4 to 7 percent at median, with concentration patterns by vendor and deal size. Tier 1 incumbents defending an existing relationship gave deeper BAFO concessions (6 to 9 percent) than tier 1 challengers attacking that relationship (3 to 5 percent), because incumbents have less to lose on margin and more to lose on revenue retention. Mid market specialist vendors gave the deepest BAFO concessions (7 to 11 percent) because they had the largest list to street gap. Deal size mattered linearly: $250K to $750K ARR deals saw 3 to 5 percent BAFO lift, $1M to $3M ARR deals saw 5 to 7 percent, and $3M plus ARR deals saw 6 to 9 percent. Two to three. A BAFO with one vendor is a negotiation, not a BAFO. A BAFO with four or more vendors signals weak shortlist work. The optimal field is two finalists in head to head pricing competition with a third held as a credible fallback.

Is the BAFO actually final?

Conventionally yes, in practice often no. Roughly 22 percent of BAFOs see a second round. Buyers who go to a third BAFO see no further discount lift, so the rule is BAFO once, BAFO twice if you must, never three times.
